Terms of Service

1. Definitions

• "Affiliate" or "Publisher" means any individual or legal entity that has been approved by Affury to promote Offers through the Affury affiliate program.
• "Network" means the Affury affiliate platform, including the portal at portal.affury.com, tracking systems, reporting dashboards, and all related services.
• "Advertiser" means Affury Ltd. in its capacity as the direct owner and operator of the dating platforms LetDate and LoyalDate.
• "Offer" means any advertising campaign made available to Affiliates through the Network, including all associated terms, payout rates, geographic restrictions, and creative requirements.
• "Campaign" means a specific advertising configuration created by an Affiliate to promote an Offer, including traffic source, targeting, and creative assets.
• "Tracking Link" means the unique URL provided by Affury to an Affiliate for the purpose of tracking traffic and conversions attributable to that Affiliate.
• "Postback" means a server-to-server HTTP callback used to notify the Affiliate of conversion events in real time.
• "Conversion" or "Lead" means a qualifying action completed by an end user, as defined in the applicable Offer terms (e.g., registration, deposit, or other specified event).
• "CPA" (Cost Per Action) means a payout model where the Affiliate is compensated a fixed amount per qualifying Conversion.
• "RevShare" (Revenue Share) means a payout model where the Affiliate receives a percentage of revenue generated by referred users over a defined period.
• "Hybrid" means a payout model combining CPA and RevShare components.
• "Hold Period" means the duration during which earned commissions are held before becoming eligible for payment, used to validate traffic quality.
• "Payout" means the transfer of approved commissions from Affury to the Affiliate.
• "Balance" means the total accumulated commissions in the Affiliate's account, including both held and approved amounts.

2. Account & Registration

1. Eligibility. You must be at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement. Affiliates may be individuals or duly organized legal entities.
2. One account per entity. Each individual or legal entity may maintain only one (1) Affury account. Creating multiple accounts is grounds for immediate termination and forfeiture of all balances.
3. Approval. Account registration constitutes an application, not a guarantee of acceptance. Affury reserves the sole right to approve or reject any application at its discretion, without obligation to disclose the reason for rejection.
4. Accurate information. You agree to provide truthful, accurate, and complete information during registration and to update such information promptly if it changes. Providing false information is grounds for immediate termination.
5. Account security. You are solely responsible for maintaining the confidentiality of your account credentials. You agree to notify Affury immediately of any unauthorized access to your account. Affury is not liable for losses arising from unauthorized use of your credentials.
6. Suspension and termination. Affury reserves the right to suspend or terminate any account at any time, with or without cause, upon reasonable notice. Accounts involved in fraud, policy violations, or illegal activity may be terminated immediately without notice.

3. Affiliate Obligations

3.1 Prohibited Traffic and Practices

The following traffic types and practices are strictly prohibited. Violation of any prohibition may result in immediate account termination, forfeiture of all pending and approved balances, and potential legal action:

• Spam: unsolicited email, SMS, push notifications, or any form of messaging sent without the recipient's prior explicit consent.
• Bot traffic: automated, non-human traffic of any kind, including but not limited to click bots, traffic exchange programs, and click farms.
• Incentivized or motivated traffic: any traffic where the end user is offered a reward, incentive, or compensation for clicking, registering, or completing any action.
• Cookie stuffing: dropping tracking cookies without a genuine user click or visit.
• Brand bidding: bidding on or purchasing any keyword containing "LetDate", "LoyalDate", "Affury", or any misspelling or variation thereof on any search engine or advertising platform.
• Adult traffic on mainstream offers: sending traffic from adult websites or sources to Offers classified as mainstream, unless explicitly approved in writing.
• Iframe or popunder traffic: without prior written approval from your Affury account manager.
• Misleading creatives: any advertisement, pre-lander, or landing page that makes false claims, impersonates another brand or individual, or uses deceptive tactics to generate clicks or conversions.
• Malware or adware: any traffic generated through software installed without the user's informed consent.

3.2 Compliance

• You must comply with all applicable local, national, and international laws and regulations, including but not limited to the General Data Protection Regulation (GDPR), the CAN-SPAM Act, the California Consumer Privacy Act (CCPA), and any other applicable data protection or advertising regulations.
• You are solely responsible for ensuring that your advertising methods, creatives, and landing pages comply with the laws of every jurisdiction in which your advertisements are displayed.
• You may not engage in any advertising practice that is misleading, deceptive, or likely to cause confusion among consumers.

3.3 Creatives and Landing Pages

• Pre-approval from Affury is required before using any custom creatives or landing pages not provided by Affury.
• Tracking Links must not be modified, altered, or redirected through unauthorized intermediaries.
• You are solely responsible for all traffic generated through your Tracking Links, regardless of traffic source.

3.4 Sub-Affiliation

You may not delegate, assign, or sub-license your participation in the Affury affiliate program to any third party without prior written approval from Affury. Unauthorized sub-affiliation is grounds for immediate termination.

4. Conversion Tracking & Attribution

1. Tracking system. All conversions are tracked through Adsiy, Affury's proprietary tracking platform. Affiliates are responsible for correctly implementing Tracking Links and postback URLs as instructed.
2. Attribution window. The standard attribution window is thirty (30) days from the date of the initial click. Conversions occurring after the attribution window expires will not be credited to the Affiliate.
3. Postback tracking. Server-to-server postback is the primary and authoritative tracking method. Affiliates are encouraged to implement postback URLs for accurate real-time conversion data.
4. Data authority. In the event of any discrepancy between Affury's tracking data and the Affiliate's own tracking data, Affury's records shall be considered authoritative and final.
5. Test traffic. Traffic generated through test mode or marked as test traffic is excluded from payout calculations.
6. Deduplication. Duplicate conversions from the same end user are automatically deduplicated. Only the first qualifying conversion per unique user per Offer will be credited, unless otherwise specified in the Offer terms.

5. Payouts

5.1 Payout Rates

CPA rates are specified per geographic region (GEO) in the applicable Offer terms within the Affury portal. Rates may vary by traffic quality, volume, and GEO. Custom rates may be negotiated on a case-by-case basis with your account manager.

5.2 Hold Period

The standard hold period is fourteen (14) calendar days. Affury may reduce the hold period for verified, high-quality Affiliates at its discretion. During the hold period, commissions are subject to quality review and may be adjusted or reversed.

5.3 Minimum Payout Thresholds

• Standard affiliates: bi-weekly (every two weeks).
• Verified / high-volume affiliates: weekly, at Affury's discretion.

5.5 Currency

All payouts are denominated and paid in United States Dollars (USD). Any currency conversion fees or intermediary bank charges are the Affiliate's responsibility.

5.6 Rate Adjustments

Affury reserves the right to adjust payout rates at any time. Changes to payout rates will be communicated to affected Affiliates with a minimum of forty-eight (48) hours' notice via email or the Affury portal. Conversions generated after the rate change takes effect will be compensated at the new rate.

5.7 Fraud Deductions

Earnings attributable to fraudulent, invalid, or policy-violating traffic will be deducted from the Affiliate's balance. If the Affiliate's account is terminated due to fraud, the entire remaining balance is subject to forfeiture.

6. Fraud & Quality Control

1. Automated fraud detection. Affury employs automated fraud detection systems that analyze traffic patterns, user behavior, device fingerprints, network signals, and other indicators in real time.
2. Fraud scoring. Each conversion is assigned a fraud score. Conversions with a fraud score exceeding seventy percent (70%) may be rejected at Affury's discretion.
3. Fraudulent activity. The following are considered fraudulent activity: bot traffic, IP recycling or rotation, datacenter/proxy traffic, click flooding, conversion manipulation, and any other activity designed to generate illegitimate conversions.
4. Quality review. Traffic that produces a zero percent (0%) deposit rate after two hundred (200) or more registrations may trigger a manual quality review. Affury reserves the right to adjust payout rates, pause campaigns, or terminate the Affiliate's account based on the results of such review.
5. Payout holds. Affury reserves the right to place extended holds on payouts pending the completion of any fraud or quality investigation.
6. Final determination. The results of Affury's fraud and quality investigations are considered final and binding. While Affiliates may request a review by contacting their account manager, Affury's determination shall prevail.

7. Intellectual Property

1. Trademark usage. The Affiliate may not use the "Affury", "LetDate", or "LoyalDate" trademarks, logos, trade names, or any confusingly similar variations in any manner without prior written approval from Affury, except as explicitly provided within approved creatives.
2. Affury materials. All pre-landers, landing pages, creatives, tracking tools, and other materials provided by Affury remain the exclusive property of Affury Ltd. The Affiliate is granted a limited, non-exclusive, non-transferable, revocable license to use such materials solely for the purpose of promoting Offers during the term of this Agreement.
3. Affiliate content. The Affiliate retains ownership of their own original content, traffic data, and campaign configurations, subject to the confidentiality obligations in Section 8.

8. Confidentiality

1. Confidential information. Offer rates, payout amounts, conversion data, traffic statistics, internal communications with Affury, and any non-public information disclosed to the Affiliate through the Network are considered confidential information.
2. Non-disclosure. The Affiliate agrees not to disclose, publish, or share confidential information with any third party, whether publicly or privately, without Affury's prior written consent.
3. Exceptions. The confidentiality obligations above do not apply to information that: (a) is required to be disclosed by law, regulation, or court order; (b) is necessary for the Affiliate's tax reporting obligations; or (c) was already publicly available through no fault of the Affiliate.
4. Survival. The confidentiality obligations under this Section survive termination of this Agreement for a period of two (2) years.

9. Limitation of Liability

1. Indirect damages. To the maximum extent permitted by applicable law, Affury shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to this Agreement.
2. Maximum liability. Affury's total aggregate liability to the Affiliate for any and all claims arising under this Agreement shall not exceed the total amount of approved payouts made to the Affiliate during the thirty (30) day period immediately preceding the claim.
3. No warranties. Affury makes no representations or warranties regarding the availability, uptime, or performance of any Offer, the conversion rates achievable, or the revenue that may be earned. All Offers and services are provided on an "as is" and "as available" basis.
4. Force majeure. Neither party shall be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, government actions, epidemics, power failures, internet disruptions, or failures of third-party service providers.

10. Termination

1. Voluntary termination. Either party may terminate this Agreement at any time by providing seven (7) calendar days' written notice to the other party via email.
2. Immediate termination. Affury may terminate this Agreement and the Affiliate's account immediately, without prior notice, in the event of: (a) fraud or suspected fraud; (b) violation of these Terms; (c) illegal activity; (d) activity that poses a risk to Affury's reputation, business relationships, or platform integrity.
3. Effect on payouts. Upon termination not involving fraud, Affury will process all pending approved payouts within thirty (30) calendar days, provided the Affiliate's balance meets the applicable minimum payout threshold.
4. Forfeiture. If the Affiliate's account is terminated due to fraud, policy violations, or illegal activity, all pending balances, whether held or approved, are subject to complete forfeiture.
5. Post-termination. Upon termination, the Affiliate must immediately cease all use of Affury's Tracking Links, creatives, and materials. Sections 7, 8, 9, and 12 of this Agreement survive termination.

11. Modifications to Terms

1. Right to modify. Affury reserves the right to modify, update, or amend these Terms at any time. Material changes will be communicated to Affiliates with a minimum of thirty (30) days' notice via email to the address associated with the Affiliate's account.
2. Acceptance. Continued use of the Affury platform or participation in any Offer after the effective date of modified Terms constitutes the Affiliate's acceptance of the modified Terms.
3. Rate changes. Changes to payout rates are not subject to the thirty (30) day notice period and will be communicated with a minimum of forty-eight (48) hours' notice, as described in Section 5.6.
4. Objection. If the Affiliate does not agree to any modified Terms, the Affiliate's sole remedy is to terminate this Agreement in accordance with Section 10.

12. Governing Law & Dispute Resolution

1. Governing law. This Agreement shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of laws provisions.
2. Jurisdiction. Any disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of Tallinn, Republic of Estonia.
3. EU regulations. For Affiliates based in the European Union, the applicable provisions of EU law, including the General Data Protection Regulation (GDPR), shall apply in addition to Estonian law where required.
4. Good faith resolution. Before initiating any formal proceedings, both parties agree to attempt in good faith to resolve any dispute through direct negotiation for a period of not less than thirty (30) days.

13. General Provisions

1. Entire agreement. These Terms, together with any Offer-specific terms displayed in the Affury portal, constitute the entire agreement between the parties and supersede all prior agreements, understandings, and representations.
2. Severability. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
3. Waiver. The failure of either party to enforce any provision of this Agreement shall not constitute a waiver of that party's right to enforce that provision in the future.
4. Assignment. The Affiliate may not assign or transfer this Agreement or any rights hereunder without Affury's prior written consent. Affury may assign this Agreement freely in connection with a merger, acquisition, or sale of substantially all of its assets.
5. Independent contractors. The relationship between Affury and the Affiliate is that of independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship.
